Terms of Service

These Terms of Service (the “Terms”) govern the use of Scalable Path’s services, which include its website, software, and mobile app (collectively, the “Services”), and any information, data, text, images, videos, audio files, content, and other materials uploaded to or downloaded from, stored on, obtained via, or transmitted through the Services (collectively, the “Content”).

Please read these Terms carefully. By accessing or using the Services or by clicking to accept the Terms when that option is presented, you agree to be bound by these Terms. If you do not agree, do not click accept and do not access or use the Services.

Section 1 – User Accounts

A. General

You are solely responsible for your use of the Services and the Content, including all actions (whether or not authorized) taken by your account. You must use the Services and the Content in compliance with these Terms and applicable laws, rules, and regulations.

B. Account Creation

To access certain features of the Services, you must register an account and provide all information required by Scalable Path. Any information you provide must be complete and accurate. You agree to not let any other person or entity use your account. Scalable Path encourages the use of “strong” passwords and is not liable for any loss arising from your failure to safeguard your account. If you suspect a security breach, you must immediately notify Scalable Path.

C. Third-Party Profiles

If you provide a link to a profile on a third-party website, you authorize Scalable Path to access and use information from that profile to help create or update your account. You represent that you have the right to provide such access.

D. Automated Tools; Model Providers

The Services may use automated tools, including large language models, to analyze Content for features like profile summaries and matching. You authorize Scalable Path to process your Content using these tools and to disclose it to third-party providers for these purposes.

Section 2 – Payment

Certain features may require payment. Currently, payments are handled outside of the Services (e.g., direct bank transfer). In the future, Scalable Path may enable direct payments through the Services using a third-party processor, subject to additional terms.

Section 3 – User Content

A. General

Users may submit Content, which remains the sole responsibility of the originator. Scalable Path does not take responsibility for user Content and does not warrant its accuracy.

B. Content Submission

By submitting Content, you represent that it is accurate, does not violate any laws or third-party rights, and does not contain malicious code. You accept full liability for all Content submitted by you.

C. Rights You Grant Scalable Path

While you retain ownership, you grant Scalable Path a worldwide, non-exclusive, perpetual license to host, use, modify, and distribute your Content to provide and improve the Services.

D. Feedback

Any feedback you provide may be used by Scalable Path without obligation or restriction. You assign all rights to such feedback to Scalable Path.

Section 4 – All Content

Your reliance on any Content is at your own risk. Scalable Path is not liable for any errors or damages resulting from the use of Content. Scalable Path reserves the right to remove Content at its discretion without notice.

Section 5 – Scalable Path’s Rights; Your License to Use the Services

The Services and Content (excluding user Content) are the exclusive property of Scalable Path. Scalable Path grants you a limited, non-transferable license to use the Services as intended by these Terms.

You agree not to: modify or copy the Services; reverse engineer the software; use the Services for illegal purposes; or use Automated Tool output as the sole basis for employment decisions without human review.

Section 6 – Intellectual Property

A. Trademarks

Trademarks displayed through the Services belong to Scalable Path or third parties and may not be used without approval. Nothing related to the Services grants you any right or license to use any of these Trademarks.

B. Copyright

Much of the Content is protected by copyright, and Scalable Path prohibits unauthorized copying. Scalable Path will respond to notices of alleged copyright infringement and has a designated copyright agent for this purpose.

Section 7 – Privacy

Any information provided to Scalable Path is subject to its privacy policy, which is incorporated into these Terms.

Section 8 – Terminating this Agreement

You may terminate this agreement by using the cancellation feature or emailing Scalable Path. Scalable Path may terminate your access at any time for any reason. Certain sections, including User Content and Liability, survive termination.

Section 9 – Disclaimers; Limitations of Liability

The Services are provided “AS IS” without warranties of any kind. Scalable Path Entities are not liable for indirect or consequential damages. Aggregate liability is limited to the greater of $100 or the amount you paid Scalable Path. You agree to indemnify Scalable Path from third-party claims related to your use of the Services or breach of Terms.

Section 10 – Miscellaneous

The Services are evolving and may change without notice. Scalable Path may revise these Terms; continued use after changes constitutes agreement. Users must be 18 years or older.

These Terms are governed by California law. Any disputes must be submitted to arbitration in San Francisco, California, and you waive the right to a jury trial or class action.
